You get the email on a Thursday. A software vendor, or a consulting firm with a famous logo, is offering a free AI readiness assessment. No strings, they say. It takes 45 minutes, maybe a workshop day, and at the end you get a report that tells you where you stand. You schedule it. Their team shows up, runs through a structured set of questions about your tech stack, your workflows, your appetite for change. Three weeks later you get a 40-slide deck. The headline finding, buried in slide 28 but present in every summary section, is that you are ready. A few gaps to address, of course, but fundamentally positioned for AI. The next step is a pilot. They have a proposal ready.

Here is what that process is not: a filter. A real readiness assessment returns "no" to a meaningful share of the companies that go through it. If yours didn't, it wasn't measuring readiness. It was measuring your interest in buying something. This paper names the structural reasons that vendor assessments can't do otherwise, then names the four disqualifiers an honest one has to surface. The assessment creates a context in which their solution gets introduced, their terminology gets embedded into the buyer's thinking, and a discovery conversation that would otherwise take three sales calls gets compressed into a structured session that feels neutral.

The tell is in what the assessment measures. Vendor-run assessments almost always measure infrastructure compatibility, integration feasibility, and use-case fit with their specific product. They do not measure whether your data governance team will block the project nine months in. They do not measure whether the department head who sponsors the initiative has enough organizational authority to override the procurement team when the pilot needs to expand. Those questions don't have answers that lead to a software sale, so they don't get asked.

An honest assessment maps the data dependencies for each proposed use case, then asks: who controls each dependency, what is their relationship to the project sponsor, and is there any reason they might not cooperate? If a critical data source is controlled by a team with competing priorities, a skeptical leadership, or a history of being territorial in cross-functional work, that is a potential disqualifier. 6. Disqualifier 2: no internal owner with real authority

An owner with real authority is a person who can compel action when the project hits friction, override objections from other departments, accelerate procurement decisions, and protect the project's resources when the next budget cycle creates pressure to pull them.

Most AI projects that stall do not stall because the technology failed. They stall because the person who was supposed to be driving them did not actually have the organizational weight to unblock the inevitable obstacles. 7. Disqualifier 3: change-management capacity at zero

The third disqualifier is one that consultants sometimes mention and then proceed past: the organization has no remaining capacity to absorb a significant change program. AI deployment is a change management exercise that happens to involve software. The technology is frequently the easiest part. The hard part is getting a team of people to change how they do their work, trust a new output source, build new habits, and tolerate the productivity dip that comes before the productivity gain. That requires organizational change management capacity. Most mid-market companies have almost none available when you need it.

Change management capacity is depleted by everything else that's happening. A team that went through a major ERP implementation in the last 18 months is exhausted. They need to read from production data systems, write to downstream tools, and integrate with the workflow software the team already uses. Every one of those integrations requires engineering time, API access, data mapping work, and ongoing maintenance. In a mid-market company with a lean IT team and a stack that's already carrying integration debt, that capacity does not exist.

The tell is in how the technology team responds to the integration question during the assessment.
